اَلْعَرَبِيَّةُ
1- الضمان
تُباع منتجات برادي على أساس أن المشتري سيختبرها في الاستخدام الفعلي ويحدد بنفسه قدرتها على التكيّف مع الاستخدام
المقصود. تضمن برادي للمشتري أن منتجاتها خالية من العيوب في المواد والتصنيع، ولكنها تقصر التزامها بموجب هذا الضمان
على استبدال المنتج الذي يثبت لها بحسب رضاها أنه كان معيبًا في وقت بيعها له. لا يمتد هذا الضمان لأي شخص يشتري المنتج
من المشتري الأصلي.
ويحل هذا الضمان محل أي ضمان آخر صريح أو ضمني، بما في ذلك، على سبيل المثال لا الحصر، أي ضمان ضمني لقابلية
التسويق أو الملاءمة لغرض معين، وأي التزامات أو مسؤولية أخرى من جانب برادي تجاه الغير. ولن تتحمل برادي بأي حال من
الأحوال المسؤولية عن أي خسائر أو أضرار أو تكاليف أو أضرار لاحقة مهما كانت طبيعتها والتي قد تنشأ في ما يتعلق باستخدام
منتجات برادي أو عدم القدرة على استخدامها.
2- الكميات
تنطبق الأسعار المتعلقة بكمية معينة فقط على تشغيل الإنتاج المستمر لتلك الكمية ما لم يُنص على خلاف ذلك على وجه التحديد،
وذلك التشغيل المستمر يكون وفقًا لتقديرنا. وفي حال تقليل الكميات أو استلزمت تعليمات الشحن عمليات تشغيل بكميات أقل، يسري
السعر المطبق على الكميات الأقل. وإذا لم تتم تغطية الكمية الأقل بعرض أسعار، ينبغي إجراء تعديلات على السعر وفقًا للصيغة
المستخدمة بانتظام من قِبَلنا.
3- عمليات الشحن بكمية زائدة أو بكمية أقل
في الطلبات الخاصة، نحتفظ بالحق في الشحن بما لا يزيد عن 5% أعلى من الكمية المطلوبة أو أقل منها.
4- براءات الاختراع
نحن نوافق على إخلاء مسؤوليتك عن أي رسوم لأي انتهاك لدعاوى السلع من قِبَل أي براءة اختراع بلجيكية صادرة في وقت تقديمنا
طلبك، بشرط أن تستند تلك الرسوم حصريًا إلى انتهاك بفعل السلع التي صممناها وصنعناها. وقبل أن تنشأ هذه المسؤولية، يجب
عليك إخطارنا كتابيًا بأي رسوم من هذا القبيل وتعطينا الحق في الدفاع عن السلع أو تسويتها أو إجراء تغييرات عليها بغرض تجنب
الانتهاك. ومسؤوليتنا، تحت أي ظرف من الظروف، لا تتجاوز بموجب هذه الاتفاقية سعر شراء رسوم السلع أو التعويض.
5- الوفاء بالطلبات
نظرًا لأن تنفيذ الطلبات يمكن أن يتأثر بأفعال أطراف ثالثة أو بفعل وقوع حادث أو قوى قاهرة، فإنها لا تعتبر اتفاقًا صريحًا. وما لم
يُنص على خلاف ذلك، فإن تجاوز الطلبات للجدول الزمني لا يعني رفضها ولا التعويض عنها.
6- المطالبات
يجب تقديم كل المطالبات بخطاب مسجل في غضون 30 يومًا بعد استلام البضائع. ولن يُقبَل إلغاء طلبك أو تعليقه بناءً على أي
شروط لن تعوضنا بالكامل عن الخسارة، بما في ذلك استرداد كل التكاليف المباشرة المتكبدة المصاحبة للرسوم غير المباشرة
والتكاليف العامة والأرباح المعقولة.
7- المرتجعات
لا يجوز إرجاع أي من منتجات برادي للاستبدال أو الائتمان بدون إذن كتابي مسبق من شركة Brady Arabia Manufacturing
Company LFC، مدينة الدمام، المدينة الصناعية الثانية 2، شارع رقم 166، مصنع 35 غرب مدينة الظهران على طريق الظهران
بقيق السريع، غرب مدينة الملك فهد العسكرية، وسيتم رفض المنتجات التي يتم إرجاعها بدون إذن مسبق من برادي.
8- الإلغاءات
في حال إلغاء الطلب من قِبَل العميل، سيتحمل العميل دفع 10% من إجمالي قيمة الفاتورة. وفي حال ضرورة إعادة البضائع إلينا،
فسيتحمل العميل كل تكاليف الشحن.
9- الشروط والأحكام المتعارضة
سيُقبَل طلبك فقط وفقًا للشروط والأحكام الواردة هنا وفي إقرارنا، ولن تشكل أحكام أي طلب شراء أو نص الطلب جزءًا من عقد
البيع.
10- الطلبات الحكومة وعروض الأسعار
المنتجات الواردة في هذا المستند هي عناصر تجارية قياسية ولا تشكل أو تتعلق بأي أعمال تجريبية أو تطويرية أو بحثية لأي قسم أو
خدمة أو إدارة أو وكالة تابعة لحكومة المملكة العربية السعودية. ولن تسري أي قواعد أو بنود لوائح تنظيمية أو أحكام حكومية تدعو
إلى منح الحق في نقل ملكية أي حقوق براءات اختراع للتراخيص أو بيانات الملكية. ونحن نشهد بأننا نقدم منتجاتنا القياسية للمشترين
المماثلين بالسعر نفسه وأن المنتجات الخاصة يتم تسعيرها بالطريقة التجارية العادية وبأسعار مماثلة للمبيعات المقدمة للآخرين.
والأسعار الموضحة في هذا المستند لا تخضع لإعادة التحديد.
11- شروط الدفع
30 يومًا من تاريخ الفاتورة
عدم الدفع عند الاستحقاق سيفرض على العميل من باب الحق وبدون إشعار رسمي فائدة بنسبة 1.5% شهريًا على المبلغ
المستحق الدفع. وإذا لم يرد العميل في غضون 5 أيام على خطاب مسجل يتم بموجبه الدفع المطالب به، فستتم زيادة المبلغ
المستحق، بالإضافة إلى تكاليف الفائدة، بنسبة 10%، بحد أدنى 125 دولارًا أمريكيًا.
12- الأدوات، وصور النيجاتيف واللوحات
سيتم الاحتفاظ بأي أدوات أو صور نيجاتيف أو لوحات في أثناء استخدامها في الإنتاج وحتى 24 شهرًا من تاريخ آخر استخدام. وبعد
24 شهرًا سيتم تدميرها ما لم يتم اتخاذ ترتيبات مكتوبة محددة. والرسوم التخطيطية والتركيبات وصور النيجاتيف والأفلام وما إلى
ذلك.... التي يتم طلبها أو إعدادها بواسطتنا، تظل ملكًا لنا. وما لم يُنص على خلاف ذلك، فلا يمكن للعميل المطالبة بحوالاته المالية
قبل التسليم وليس بعده.
13- العمل الفني
نظرًا للمتطلبات الميكانيكية الخاصة في تصنيع منتجاتنا، تخضع كل الأعمال الفنية التي يقدمها العملاء لموافقتنا. وإذا كانت ثمة
ضرورة لرسوم إضافية للتنقيح و/أو إعادة العمل، فسيتم إخطارك وتقديم الفواتير لك بعد التسليم.
14- التعديل كتابيًا
لن يكون أي تنازل أو تعديل لأي من أحكام هذا المستند ملزمًا لنا ما لم يكن مكتوبًا وبعد موافقة مجلس الإدارة.
15- نقل الملكية
من المتفق عليه صراحة أن حق الانتفاع والملكية القانونية للسلع وتملكها والحق في حيازتها والتحكم فيها ومخاطر ضياعها وتلفها
سيظل في يدنا حتى تصل الشحنة فعليًا إلى ميناء الدخول لديك. ولا يجوز تعديل نقل الملكية المنصوص عليه في هذا المستند ولا
يتأثر بأي شكل من الأشكال بوقت أو مكان أو طريقة الدفع أو طريقة الشحن أو أي مستندات أخرى تتعلق بهذا البيع. واستخدام
مصطلحات "التسليم على متن السفينة (F.O.B)"، أو "التسليم مدفوع النقل والتأمين (C.I.F)" أو "التسليم مدفوع النولون (C.F.R)"
ينطبق فقط على الشحن والسعر وليس على حق الملكية.

1. WARRANTY
BRADY products are sold with the understanding that the buyer will test them in actual use and determine for himself their adaptability
to his intended use. BRADY warrants to the buyer that its products are free from defects in material and workmanship, but limits its
obligation under warranty to replacement of the product, shown to BRADY's satisfaction to have been defective at the time BRADY sold it.
This warranty does not extend to any persons obtaining the product from the buyer.
THIS WARRANTY IS IN LIEU OF ANY OTHER WARRANTY EXPRESS
OR IMPLIED, INCLUDING, BUT NOT LIMITED TO ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, AND OF ANY OTHER
OBLIGATIONS OR LIABILITY ON BRADY'S PART. UNDER NO CIRCUMSTANCES WILL BRADY BE LIABLE FOR ANY LOSS, DAMAGE, EXPENSE OR CONSEQUENTIAL
DAMAGES OF ANY KIND ARISING IN CONNECTION WITH THE USE OR INABILITY TO USE BRADY'S PRODUCTS.
2. QUANTITIES
Prices in relation to a given quantity apply only to a continuous production run of that quantity unless specifically otherwise stated,
such continuous run being at our discretion. In case quantities are reduced or shipping instructions necessitate runs of lesser quantity,
the price applicable to the lesser quantities shall apply. If lesser quantity is not covered by quotation, adjustments of price shall be
made under formula regularly used by us.
3. OVERRUNS AND UNDERRUNS
On Special Orders, we reserve the right to ship not in excess of 5% over or under the quantity ordered.
4. PATENTS
We agree to hold you harmless against charges of infringement of article claims by any Belgian patent issued at the time your order is
entered by us, provided such charges are based exclusively on infringement by the article designed and manufactured by us. Before this
liability shall arise, however, you must notify us, in writing, of any such charge and tender us the right to defend, settle, or make
changes in the articles for the purpose of avoiding infringement. Under no circumstances shall our liability hereunder exceed the
purchase price of articles charges or indemnification.
5. FULFILLMENT OF ORDERS
Since the fulfillment of orders can be influenced by acts of third persons or by cases of accident or superior forces, they are not being
considered as an explicit agreement. Unless otherwise stipulated, orders beyond schedule will not lead to refusal or indemnification.
6. CLAIMS
All claims must be made by registered letter within 30 days after receipt of goods. The cancellation or suspension of your order will not
be accepted on terms which will not fully indemnity us against loss, including recovery of all direct costs incurred attendant normal
indirect and overhead charges and a reasonable profit.
7. RETURNS
No BRADY products are to be returned for exchange or credit without prior written authorization from Brady Arabia Manufacturing Company LFC, Damman City, Industrial City Second 2, Street number 166, Plant 35 West of Dharhran City on Highway Dhahran Abqaiq, West of King Fahd Military City
Products returned without BRADY's prior authorization will be refused.
8. CANCELLATIONS
In case of order cancellation by customer, 10% of the total invoice value will be charged to the customer. If goods needs to be returned
to us, all shipment costs will be on the customer's account.
9. CONTRARY TERMS AND CONDITIONS
Your order will be accepted only on the terms and conditions contained herein and in our acknowledge and the provisions of any
purchase-order or order writing shall not constitute a part of the contract sale.
10. GOVERNMENT ORDERS AND QUOTATIONS
The products involved herein are standard commercial items and do not constitute or relate to experimental, developmental or research work for any division, service, administration or agency of the Kingdom of Saudi Arabia Government. No governmental rules, regulations terms, or provisions calling for the granting of transferring of any patents rights of licenses or proprietary data shall apply. We certify that we offer our standard products to comparable purchasers at the same price and that special products are priced in the normalcommercial manner and at prices comparable to sales made to others. Prices quoted herein are not subject to redetermination.
11. TERMS OF PAYMENT
30 days from date of invoice
the nonpaying when due, will charge the customer by right and without formal notification an interest of 1.5% per month on the amount payable. If the customer does not respond within 5 days to a registered letter by which payment in claimed, the amount payable, together with the interest costs, will be increased by 10%, with a minimum of 125 USD.
12. TOOLS, NEGATIFS AND PLATES
Any tools, negatives and plates will be maintained while used in production and till 24 months following date of last use. After 24
months they will be destroyed unless specific written arrangements. Scetches, compositions, negatives, films, etc.... ordered or prepared
by us, remain our property. Unless stipulated otherwise, the customer cannot demand their remittance before not after delivery.
13. ARTWORK
Due to special mechanical requirements in the manufacture of our products, all artwork, submitted by customers subject to our approval.
If additional charges for retouching and/or rework are necessary, you will notified and billed after delivery.
14. MODIFICATION TO BE IN WRITING
No waiver or modifications of any of the provisions hereof shall be binding upon us unless in writing and approved by the Board of
Directors.
15. PASSAGE OF TITLE
It is expressly agreed that beneficial and legal title to, ownership of, right to possession of, control over, and risk of loss and
damage to, the merchandise shall remain with us until the shipment physically arrives ex-ship at your port of entry. The passage of title
provided for herein shall not be modified or affected in any way by the time, place or method of payment, the manner of consignment or
any other documentation relating to this sale. The use of the terms "F.O.B.", "C.I.F." or "C.F.R." shall apply only to shipment and price
and not to title.
